Venue Terms of Use
Terms of Use
Effective date: 14 October 2026
1. Who we are
THE DRINK EXCHANGE is operated by Dunkgate Consulting Limited, a company registered in England and Wales under company number 12980691. In these terms, "we", "us" and "our" mean Dunkgate Consulting Limited, trading as THE DRINK EXCHANGE.
Registered office: 15 South Cliff Avenue, Eastbourne, East Sussex, England, BN20 7AH.Contact: team@drinkexchange.co.uk.
2. The service and your agreement
These terms are intended for business customers using THE DRINK EXCHANGE to run venue events. "You" means the venue business identified in your order or account. The person accepting an order must be authorised to act for that business.
The service may include an event dashboard, demand-based drink pricing, market crashes, venue TV boards, customer price pages, media display and supported POS connections. Your confirmed order and account identify the features, venues and subscription you have purchased. An integration or trial feature is included only when we have confirmed that it is available and suitable for your account.
These terms form part of your agreement when included in and accepted with your confirmed order or subscription. A specific term expressly agreed in writing for your order takes priority over a conflicting general term on this page. A venue application alone does not create a paid subscription.
3. Accounts and venue licence
During your active licence, we grant your business a non-exclusive right to use the service for its approved venue and authorised staff. A licence for one venue does not authorise use at additional venues unless your order says otherwise. Contact us before transferring an account to another business or venue.
You must provide accurate business and contact details, keep them current, protect your login credentials and restrict staff access to authorised users. Tell us promptly if you suspect unauthorised access.
You must not use the service unlawfully, interfere with another account, distribute malicious code, bypass access controls or resell the service without our written agreement. These restrictions do not remove any rights that applicable law expressly permits.
4. Fees and renewal
The price, billing frequency, applicable taxes and any agreed setup charges are shown before you subscribe and in your confirmed order. Our published standard venue subscription is currently £200 per month plus VAT per approved venue, unless we have agreed a different price with you. See our pricing page.
A monthly subscription renews automatically at the end of each billing period until cancelled or paused. You authorise collection of the agreed recurring charges using your selected payment method. You must keep billing details current and pay amounts properly due.
POS provider subscriptions, internet access, screens, hardware and other third-party charges are separate unless your order expressly includes them. We will tell you about proposed changes to your subscription price before they apply, with a reasonable opportunity to cancel before the first affected renewal. Changes are not applied retrospectively to a paid period.
5. Cancellation and pauses
You can request cancellation at any time through the available licence or billing controls, or by contacting us. For a manually managed licence, contact support. Cancellation normally stops the next renewal; your access continues until the end of the period already paid for. The confirmation shows the effective end date.
Where a pause option is available, a confirmed pause stops renewal at the end of the current period. Resuming may require a new checkout if the earlier subscription has ended. A pause is not an extension of the period already purchased.
Charges for a period already supplied remain payable. This does not prevent a refund required by law or your order, or an agreed remedy where we have failed to provide the service. Contact us if you believe a charge is incorrect or a refund is due.
Before access ends, close any active market and confirm that normal POS prices have been restored. Keep copies of records your business needs. Contact support if you cannot complete restoration or obtain a required copy.
6. Venue responsibilities
You control the drinks offered, permitted price ranges, event times and market crash settings. You are responsible for choosing prices that are lawful and commercially suitable for your venue, for maintaining accurate product information and for explaining customer prices clearly.
Your venue remains responsible for alcohol licences and permissions, age checks, responsible service, local minimum-pricing rules and restrictions on promotions. THE DRINK EXCHANGE does not grant an alcohol licence or approve the legality of a promotion.
Provide suitable equipment, reliable connectivity and appropriately trained staff. Monitor events while they run, check prices at the till and stop the market if a fault makes continued operation unsafe or misleading.
7. POS connections and prices
Compatibility and setup requirements vary by POS provider. Use only the store, price level, devices and products agreed for your venue. You must have permission to grant the required POS access and comply with the provider's own terms.
By enabling a connection, you authorise the product reads, sales reads and price changes described in its setup guidance. You remain responsible for checking the selected products and their normal, minimum and maximum prices before opening a market.
Network conditions, provider limits, offline devices and existing basket lines can delay or prevent a price appearing on a till. A provider's cloud acknowledgement does not necessarily confirm every device's price. Keep participating tills online and check a fresh basket when verifying a change or restoration.
Do not make conflicting manual price edits while the market is active. Use the supplied closing and recovery controls to restore normal prices. If restoration cannot be confirmed, stop live pricing and verify or correct the affected prices in the POS before continuing normal service. Contact support promptly.
8. Availability and support
We will provide the service with reasonable care and skill and take reasonable steps to maintain it and address faults. We do not promise uninterrupted availability, a particular sales increase or a specific profit. An uptime or response-time commitment applies only if expressly included in your order.
Maintenance, security incidents and third-party outages may affect availability. We will give reasonable notice of planned material interruptions where practicable. Contact support with the venue, affected feature and time of a problem, without sending passwords or access tokens in an ordinary support message.
Third-party providers operate under their own terms and may change their APIs, permissions or availability. We will communicate material compatibility issues we become aware of. This does not exclude our responsibility for our own breach of this agreement.
9. Content and intellectual property
We and our licensors retain ownership of THE DRINK EXCHANGE software, designs and branding. Your licence permits use of the service; it does not transfer ownership.
You retain ownership of content and records you provide. You grant us permission to store, process and display that material as needed to provide the service to your business and its intended viewers. You must have the necessary rights and permissions for uploaded logos, images, videos, music and advertisements, including any venue public-performance rights.
We do not acquire a general right under these terms to use your venue's name or content in our marketing. Any such use requires separate permission or another applicable agreement.
10. Privacy and data
Our Privacy Policy explains how we handle personal information. Each party must comply with the data-protection obligations that apply to its activities. Where a separate data-processing agreement is legally required, it must be agreed before the relevant processing begins.
Provide only information you are entitled to share and that is needed for the service. Restrict staff access appropriately. Keep your own copies of records needed for tax, licensing and other business purposes. Contact us about access, export, correction, deletion or an integration disconnection.
11. Suspension and termination
We may restrict or suspend access where a licence has expired, payment is overdue, an account creates a material security risk, or its use breaches these terms or applicable law. We will explain the reason and give a reasonable opportunity to correct a remediable problem, unless immediate action is needed or disclosure is prohibited.
We may terminate for a serious breach that cannot be remedied, or a remediable breach that remains unresolved after reasonable notice. If we permanently discontinue a paid service for reasons unrelated to your breach, we will give reasonable notice where possible and refund the unused prepaid portion of the discontinued service.
Ending access does not remove obligations already due or rights arising from an earlier breach. We will consider reasonable requests to recover necessary business records, subject to legal retention requirements and account verification.
12. Responsibility for loss
We are responsible for reasonably foreseeable direct loss caused by our breach of this agreement or failure to exercise reasonable care and skill. Each party should take reasonable steps to avoid or reduce loss when a problem occurs and tell the other party promptly.
Neither party is responsible for indirect or consequential loss arising from this agreement. There is no exclusion of direct loss merely because it relates to a venue's sales. Responsibility for a third-party outage depends on the cause and each party's own obligations.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. Any restriction applies only to the extent it is lawful and enforceable. Mandatory statutory rights are preserved.
13. Changes to these terms
We may propose updates to reflect changes in the service or legal requirements. We will notify paying customers of material changes before they apply and explain the effective date. Changes will not retrospectively remove rights or remedies that have already arisen.
If you do not agree to a proposed material change, you can cancel before it takes effect. Existing expressly agreed order terms continue to apply unless changed by agreement or as those terms permit.
14. Law and contact
These terms and disputes connected with them are governed by the law of England and Wales. The courts of England and Wales have jurisdiction, subject to any mandatory legal rights that apply.
For questions, a complaint or a billing or service dispute, contact team@drinkexchange.co.uk. We will review the issue and work with you to resolve it.
